Please read these Terms & Conditions carefully. By accessing our website, submitting a form, scheduling a consultation, purchasing a service, paying an invoice, electronically accepting a proposal or agreement, or otherwise using our services, you agree to these Terms & Conditions. If you do not agree, do not use the website or purchase services.
IMPORTANT: SunBiz Support provides business preparation, compliance-alignment, documentation, online-presence, business-credit-preparation, and funding-readiness support. We are not a bank, lender, credit bureau, law firm, accounting firm, tax advisor, or government agency. We do not guarantee funding, credit approval, business-credit scores, lender decisions, government approval, online-platform approval, or any particular financial result.
1. About These Terms
These Terms & Conditions ("Terms") form a binding agreement between you and SunBiz Support, LLC ("SunBiz Support," "we," "us," or "our"). They govern your use of our website, online forms, scheduling pages, payment pages, communications, consultations, digital materials, and services.
A proposal, invoice, order form, engagement letter, service agreement, registered-agent agreement, business-address agreement, or other written document may contain additional or more specific terms. If a signed or electronically accepted service document conflicts with these Terms, the more specific service document controls for that service. Our Privacy Policy governs how we collect, use, and disclose information.
2. Eligibility and Authority
You must be at least 18 years old and legally able to enter into a contract. If you act for a business, organization, or other entity, you represent that you have authority to bind that entity. Our services are intended primarily for legitimate business and commercial purposes.
3. Services We May Provide
Depending on the service selected and the written scope, SunBiz Support may provide business funding-readiness evaluations, compliance-profile reviews, business-structure support, administrative filing assistance, registered-agent services, business-address hosting, EIN or business-identifier setup assistance, business tax receipt support, business-credit preparation, online-presence support, landing pages, domains, professional email setup, Google Business Profile support, funding research, document preparation, coaching, and related consulting services.
The exact service, deliverables, price, estimated timeline, exclusions, and responsibilities are stated in the applicable proposal, invoice, order form, service agreement, or written confirmation. We are not required to perform work outside the approved scope. Any additional work may require a separate fee and written authorization.
4. No Guarantee of Funding, Credit, Approval, or Results
All funding, credit, banking, underwriting, vendor, government, platform, and regulatory decisions are made by independent third parties. Eligibility requirements, underwriting standards, pricing, availability, and processing times may change without notice.

We do not guarantee that you will receive a loan, line of credit, grant, tradeline, account, business credit score, certification, registration, license, permit, Google Business Profile approval, or any other approval or benefit.

A funding-readiness evaluation, research report, prequalification discussion, referral, lender match, or document review is not an approval, commitment, offer, or promise of funding.

Any estimated funding amount, likelihood, timeline, score improvement, or business benefit is informational and may not occur.

You are responsible for reviewing all third-party terms, rates, fees, repayment obligations, security interests, personal guarantees, and disclosures before accepting any product or service.
5. No Legal, Tax, Accounting, Investment, or Credit-Repair Advice
SunBiz Support provides administrative and business-consulting support. We do not provide legal, tax, accounting, investment, securities, or regulated credit-repair advice. We do not represent you as an attorney, certified public accountant, financial advisor, lender, broker, or credit-repair organization.
Entity formation, compliance, registered-agent, business-address, document-preparation, and funding-readiness services do not create an attorney-client, accountant-client, fiduciary, or lender-borrower relationship. You should consult appropriately licensed professionals regarding legal rights, taxes, accounting treatment, investment decisions, credit disputes, ownership structure, contracts, and regulatory obligations.
6. Client Information, Instructions, and Responsibilities
You are responsible for providing complete, accurate, current, lawful, and non-misleading information. We may rely on the information and documents you provide without independently verifying every item. You must promptly notify us of errors, ownership changes, address changes, contact changes, deadlines, legal notices, or other facts that could affect the work.

Review all applications, filings, profiles, forms, reports, websites, and deliverables before submission or publication.

Respond promptly to requests for documents, approvals, signatures, access credentials, corrections, or decisions.

Maintain your own copies of records, passwords, filings, notices, contracts, and deliverables.

Comply with all laws, licenses, tax obligations, industry rules, lender requirements, platform terms, and government filing requirements applicable to your business.

Use all services, addresses, accounts, profiles, reports, and deliverables only for lawful and truthful purposes.
Delays caused by missing information, inaccurate information, late responses, third-party processing, government offices, financial institutions, credit bureaus, website platforms, payment systems, carriers, or events outside our control do not constitute a breach by SunBiz Support.
7. Service Scope, Timelines, and Changes
Service timelines are estimates unless a written agreement expressly states that a deadline is guaranteed. Work may depend on your cooperation, third-party systems, government processing, financial institutions, lenders, credit bureaus, vendors, postal carriers, or online platforms.
A change in ownership, business structure, service requirements, documentation, requested platform, law, third-party fee, or project complexity may require a revised scope, additional time, or additional fees. We will obtain authorization before performing material out-of-scope work whenever reasonably practicable.
8. Fees, Invoices, and Payment
Unless otherwise stated in writing, payment is due upon receipt of the invoice and before work begins. Payment constitutes acceptance of the invoice, approved scope, and applicable Terms. We may require deposits, milestone payments, recurring payments, or payment in full before providing services or releasing final deliverables.

Prices are limited to the approved scope. Additional services are billed separately.

Government filing fees, credit-report fees, domain fees, website hosting, software subscriptions, mailing costs, data costs, lender fees, platform charges, taxes, and other third-party expenses are separate unless expressly included.

You authorize our secure third-party credit card payment processor to process charges you approve.

We may suspend work, access, renewals, forwarding, hosting, or other services for nonpayment, expired payment information, disputed valid charges, or a material breach of these Terms.

You remain responsible for valid charges and reasonable collection costs to the extent permitted by law.
9. Cancellations, Refunds, and Recurring Services
Service fees compensate SunBiz Support for reserved time, analysis, preparation, setup, research, communication, and work performed. Unless a written service agreement or invoice states otherwise, the following rules apply:

Before work begins, you may request cancellation in writing. We may refund amounts not yet earned, less nonrefundable third-party charges or costs already incurred.

After work begins, completed work and time already spent are nonrefundable. Any refund for the unperformed portion is determined from the actual scope completed and costs incurred.

Government filing fees, reports, searches, domain registrations, software, subscriptions, postage, data, payment-processing fees, and other third-party charges are nonrefundable once ordered, incurred, or transmitted.

Consultations, coaching sessions, evaluations, research, digital documents, and customized work are generally nonrefundable after delivery or substantial performance.

Recurring services renew only as disclosed at purchase or in the applicable agreement. Cancellation applies prospectively and must be received before the next renewal date to avoid the next charge. Partial billing periods are not prorated unless required by law or stated in writing.

Failure to use a service, attend a scheduled session, provide requested information, or complete your responsibilities does not automatically create a refund right.
Nothing in this section limits any nonwaivable cancellation or refund right provided by applicable law.
10. Scheduling, Consultations, and Missed Appointments
You are responsible for scheduling through the approved online appointment scheduling system and attending on time. Rescheduling and cancellation rules shown on the booking page or confirmation notice apply. A missed appointment or late cancellation may be forfeited or subject to a new fee when stated at booking. We may reschedule due to emergencies, technical problems, or circumstances outside our control.
11. Business Formation and Administrative Filing Services
When included in the scope, we may prepare and submit administrative business filings using information you provide. We do not determine the legal or tax suitability of an entity type, ownership arrangement, management structure, tax election, operating agreement, or governance document unless expressly stated in a written agreement and performed by an appropriately licensed professional.

You are responsible for reviewing names, addresses, ownership percentages, officer information, business purpose, industry classification, and all filing details before submission.

Government acceptance, name availability, processing time, fees, effective dates, and requests for additional information are outside our control.

Unless expressly included, entity-formation services do not include custom operating agreements, corporate resolutions, ownership certificates, tax advice, bookkeeping, legal opinions, licensing, or ongoing compliance monitoring.

You remain responsible for annual reports, tax filings, licenses, permits, beneficial-ownership or similar reporting obligations, and future amendments that apply to your business.
12. Registered-Agent Services
Registered-agent services are limited to the scope stated in the applicable agreement. We may receive and forward service of process, government notices, or official correspondence using the contact information you provide. Registered-agent service does not include legal representation, legal advice, compliance monitoring, deadline management, mail handling beyond the agreed scope, or responsibility for responding to a notice.
You must keep your contact information current, promptly review all forwarded documents, and take required action. We are not responsible for a missed deadline, default, penalty, or loss caused by inaccurate contact information, failure to monitor communications, failure to respond, carrier delay, government error, or events beyond our reasonable control. Upon termination, you must timely appoint a replacement registered agent and update all required records.
13. Business-Address Hosting and Mail Services
Business-address hosting is a limited commercial service and does not create a lease, tenancy, residence, exclusive occupancy right, physical office right, or ownership interest. The address may be used only for approved business purposes and only while the account is active and in good standing.
Permitted Uses

Business registration and public business records, subject to government acceptance.

Business correspondence, banking, vendors, clients, licensing, and compliance-related mail when permitted by the sender or agency.

A professional business mailing address within the limitations of the selected service.
Prohibited Uses

Personal residence, driver-license or voter registration, school enrollment, personal government benefits, immigration residency, or any purpose requiring actual physical occupancy.

Fraud, misrepresentation, identity misuse, deceptive credit applications, unlawful activity, controlled or hazardous materials, prohibited goods, or excessive parcel volume.

Representing that you have staff, inventory, exclusive office space, walk-in access, or physical operations at the address when that is not true.

Using the address after termination, suspension, or expiration of the service.
Mail may be held, scanned, forwarded, returned, or otherwise handled only as provided in the applicable plan. Postage, storage, forwarding, oversized-item, special-handling, or excessive-volume fees may apply. We may refuse or return items that are unlawful, unsafe, prohibited, improperly addressed, or outside the agreed service. After termination, you must remove the address from public records, websites, accounts, advertising, and correspondence within ten (10) business days or sooner if required by law or a written agreement.
14. Websites, Domains, Email, and Online Profiles
Website, landing-page, domain, professional-email, social-profile, directory, or Google Business Profile services may rely on third-party website hosting providers, domain registrars, email providers, search engines, maps, social networks, and other platforms. Their terms, technical requirements, verification rules, availability, pricing, and enforcement decisions apply in addition to these Terms.

Unless expressly included, the client is responsible for hosting, subscription, renewal, advertising, premium feature, and third-party platform fees.

You must provide accurate content and own or have permission to use all names, logos, images, trademarks, testimonials, photographs, and materials you provide.

We do not guarantee search rankings, traffic, leads, calls, reviews, map placement, indexing, platform approval, account recovery, or uninterrupted availability.

You are responsible for monitoring renewals and maintaining current payment information. Failure to renew a domain, hosting plan, email service, or platform subscription may cause suspension or loss of service or data.

When reasonably practicable and included in the scope, credentials or ownership access will be transferred or provided after full payment and completion. You are responsible for changing passwords and maintaining account security.
15. Business Credit, Tradelines, and Funding-Readiness Services
Business-credit and funding-readiness services are educational, administrative, and strategic. We may help identify business-profile issues, documentation gaps, reporting inconsistencies, vendor-account options, or credibility factors. We do not control credit bureaus, data furnishers, vendors, lenders, banks, or scoring models.

We do not promise deletion of accurate information, a specific business credit score, a specific number of reporting accounts, approval of any account, or approval of funding.

Vendor or revolving accounts are separate obligations between you and the provider. You are responsible for purchases, fees, payments, utilization, and compliance with account terms.

Reporting practices and scoring models may change, and not every account reports to every business credit bureau.

Any credit-related information must be used truthfully and lawfully. We do not support identity manipulation, synthetic identities, false revenue, false addresses, false ownership, or deceptive applications.
16. Funding Research, Referrals, and Third-Party Opportunities
Funding research may identify loans, grants, private financing, vendors, programs, or other opportunities based on information available at the time of research. Programs may close, change, reach funding limits, impose additional requirements, or decline an application without notice.
A referral or introduction does not mean that SunBiz Support endorses, controls, guarantees, or is responsible for a third party. Unless expressly disclosed in writing, we are not your lender or agent and do not make the final underwriting decision. We may receive referral compensation from certain providers when legally permitted; any material relationship will be disclosed when required by law.
17. Communications, Email, Telephone, and Text Messages
By providing contact information, you authorize us to send service-related communications about appointments, documents, payments, deadlines, account status, and requested services. These communications may be sent through a business email service provider, business phone and SMS messaging provider, online appointment scheduling system, or other service provider.

Marketing emails may be sent as permitted by law. You may unsubscribe using the link in the message or by contacting us.

Marketing text messages will be sent only when we have the consent required by law. Consent to marketing texts is not a condition of purchase. Message frequency varies, and message and data rates may apply.

You may opt out of marketing texts by replying STOP. You may request help by replying HELP or contacting us. We may send a final confirmation of your opt-out.

Opting out of marketing does not prevent necessary transactional or service communications, where permitted by law.

You represent that you are authorized to provide the telephone number or email address and will notify us if it changes or is reassigned.
18. Electronic Records, Signatures, and Acceptance
You consent to receive agreements, notices, invoices, disclosures, and records electronically. Clicking an acceptance box, typing your name, electronically signing, submitting a form, paying an invoice, or otherwise taking an action that indicates agreement may serve as your electronic signature and acceptance to the extent permitted by law.
You are responsible for keeping your email address and contact information current and for maintaining copies of electronic records. You may request a paper copy, and reasonable reproduction or delivery costs may apply when permitted by law.
19. Ownership of Website Content and Work Product
The website, forms, service descriptions, methods, processes, checklists, templates, graphics, logos, videos, text, training materials, software configurations, and other SunBiz Support content are owned by or licensed to SunBiz Support and are protected by applicable intellectual-property laws.

You may use the website and materials only for your internal business purposes and only as authorized.

Work product remains the property of SunBiz Support until all related amounts are paid in full.

After full payment, you may use final client-specific deliverables for your own lawful business purposes, subject to any third-party license or written limitation.

SunBiz Support retains ownership of preexisting materials, reusable templates, general know-how, methods, systems, and non-client-specific components.

You may not copy, resell, publish, distribute, sublicense, reverse engineer, remove branding from, or create competing products from our materials without written permission.
20. Client Materials and Permissions
You retain ownership of materials you provide. You grant SunBiz Support a limited license to use, reproduce, edit, transmit, submit, or display those materials as reasonably necessary to perform the requested services. You represent that the materials are accurate, lawful, and do not infringe the rights of another person.
You authorize us to communicate with third parties and submit information on your behalf only to the extent reasonably necessary for the approved scope. You are responsible for providing any separate authorization, consent, power, signature, or verification a third party requires.
21. Acceptable Use and Prohibited Conduct
You may not use our website or services to:

Violate any law, regulation, court order, contract, platform rule, intellectual-property right, privacy right, or publicity right.

Provide false documents, false ownership information, false revenue, false addresses, false identities, misleading claims, or inaccurate application information.

Engage in fraud, money laundering, identity theft, unauthorized credit activity, harassment, threats, discrimination, spam, malware, scraping, automated attacks, or attempts to bypass security.

Interfere with the website, accounts, networks, forms, payment systems, scheduling systems, or another person’s use of the services.

Use our name, address, logo, staff, systems, or materials to imply an endorsement, partnership, government affiliation, physical office, or authority that does not exist.
We may reject, suspend, or terminate services when we reasonably believe information is false, the use is unlawful, a payment is overdue, a third-party requirement is not met, or continuing the engagement would create legal, security, reputational, or operational risk.
22. Reviews, Testimonials, and Public Statements
Nothing in these Terms prohibits you from giving an honest review or reporting a genuine concern. Reviews and public statements must not contain knowingly false statements, unlawful threats, confidential information belonging to another person, or content that violates applicable law. We may request permission before using your name, logo, photograph, testimonial, or case study in marketing.
23. Third-Party Websites, Providers, and Services
Our website or services may link to, integrate with, or depend on third parties, including lenders, funding providers, government agencies, credit bureaus, financial institutions, domain registrars, website hosts, email providers, payment processors, scheduling providers, telecommunications providers, software vendors, and online platforms.
SunBiz Support does not control and is not responsible for a third party’s eligibility rules, decisions, content, products, security, availability, fees, contracts, privacy practices, performance, errors, or omissions. Your relationship with a third party is governed by that party’s terms and policies.
24. Privacy and Data Security
Our collection, use, and disclosure of information are described in our Privacy Policy. No transmission, storage system, website, email, or communication method is completely secure. You are responsible for using secure methods when sharing sensitive information and for protecting passwords, devices, accounts, and access credentials.
25. Disclaimers of Warranties
To the fullest extent permitted by law, the website, content, consultations, reports, recommendations, referrals, and services are provided on an "as is" and "as available" basis. SunBiz Support disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, completeness, availability, security, and results.
We do not warrant that the website or services will be uninterrupted, error-free, secure, current, or compatible with every system, or that any defect will be corrected. Information may become outdated, and you are responsible for verifying material information before acting on it.
26. Limitation of Liability
To the fullest extent permitted by law, SunBiz Support and its owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost revenue; lost business; lost data; loss of credit opportunity; loss of funding; missed deadlines; reputational harm; or third-party decisions, even if advised that such damages are possible.
To the fullest extent permitted by law, the total aggregate liability of SunBiz Support arising from a claim will not exceed the amount you actually paid to SunBiz Support for the specific service giving rise to the claim. These limitations apply regardless of the legal theory and survive termination. Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.
27. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SunBiz Support and its owners, officers, employees, contractors, and service providers from third-party claims, losses, liabilities, penalties, damages, judgments, and reasonable costs arising from your false or inaccurate information, unlawful conduct, misuse of services, violation of these Terms, infringement of another person’s rights, or instructions that cause a violation of law or third-party terms. This obligation does not apply to the extent a claim is caused by SunBiz Support’s willful misconduct or other liability that cannot lawfully be limited.
28. Suspension and Termination
Either party may end a service as provided in the applicable agreement. We may immediately suspend or terminate access or services for nonpayment, fraud concerns, abusive conduct, security risk, unlawful use, false information, prohibited address use, violation of third-party requirements, or material breach.
Termination does not eliminate payment obligations for work performed or costs incurred. Sections concerning payment, intellectual property, disclaimers, liability, indemnification, dispute resolution, and any provisions that by their nature should survive will remain in effect.
29. Events Outside Our Control
SunBiz Support is not responsible for delay or failure caused by events outside our reasonable control, including government closures, changes in law, lender or platform outages, cyberattacks, internet or telecommunications failures, postal delays, natural disasters, severe weather, labor disputes, public-health events, utility failures, acts of war, or failures of third-party systems or providers.
30. Governing Law and Informal Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Before filing a legal claim, the complaining party should send written notice describing the dispute and requested resolution and allow at least thirty (30) days for a good-faith effort to resolve the matter.
Unless a different venue is required by nonwaivable law or a signed agreement, any court proceeding must be brought in a state or federal court with jurisdiction in Palm Beach County, Florida. Each party consents to personal jurisdiction and venue in those courts.
31. Changes to These Terms
We may revise these Terms to reflect changes in services, practices, technology, law, or business operations. The updated version will show a revised effective date. Material changes may also be communicated by email, website notice, or another reasonable method. Changes apply prospectively unless otherwise stated or required by law. Continued use after the effective date constitutes acceptance of the revised Terms.
32. General Provisions

Entire Agreement. These Terms, the Privacy Policy, and applicable proposals, invoices, order forms, and service agreements form the agreement for the relevant service.

Severability. If a provision is held unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.

No Waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment. You may not transfer your rights or obligations without our written consent. We may assign these Terms in connection with a merger, restructuring, sale, or transfer of business assets.

No Third-Party Beneficiaries. These Terms do not create rights for any person other than the parties, except as expressly stated.

Headings. Headings are for convenience and do not limit the meaning of any provision.
